By signing up for a waarble account, you are agreeing to be bound by the following Terms of Service.

About waarble: waarble is a Software as a Service (SaaS) platform designed to assist associations, clubs, community groups, and other organizations in managing memberships, teams, clubs, and events. It is owned and operated by waarble Pty Ltd (ACN: 670 619 860), an Australian corporation, hereafter referred to as "waarble." The service is accessible through the website waarble.com and its associated subdomains.

The waarble Team: This term refers to our dedicated employees, including developers, management, and support staff, who work collectively to enhance your waarble experience.

Clients and Users: Our Clients ("Clients") include various associations, clubs, and community groups that register to use waarble for managing their memberships and/or events. Members and other individuals ("Users") who interact with these organizations through waarble retain ownership of their data. While Users may associate with one or more Clients, data collected for one Client is not visible to other Clients unless explicitly shared by the User. Clients can remove Users from their association, but this action only alters the association and does not delete the actual User account.

 

1. Ownership of the Software

1.1 Proprietary Rights

The waarble Pty Ltd retains all rights, title, and interest in and to the Software, including all intellectual property rights therein. Users are granted no ownership rights in or to the Software, and any rights not expressly granted herein are reserved by waarble Pty Ltd.

1.2 Intellectual Property

All content, trademarks, logos, and other intellectual property displayed within the Software are the property of waarble Pty Ltd or its licensors. Unauthorized use of any such materials is strictly prohibited.

 

2. License to Use

2.1 Grant of License

waarble Pty Ltd grants Users a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for the purposes of managing memberships in accordance with this AUP and any applicable Subscription Agreement.

2.2 License Restrictions

Users shall not:

Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Software.

Reverse engineer, decompile, or disassemble the Software, except as expressly permitted by applicable law.

Use the Software to engage in any activity that interferes with or disrupts the integrity or performance of the Software or the data contained therein.

 

3. Security of the Product

3.1 User Responsibilities

Users are responsible for maintaining the confidentiality of their login credentials and are fully responsible for all activities that occur under their account. Users agree to immediately notify waarble Pty Ltd of any unauthorized use of their account or any other breach of security.

3.2 Data Protection

waarble Pty Ltd implements industry-standard security measures to protect the integrity, confidentiality, and availability of the Software and User data. These measures include, but are not limited to, encryption, access controls, and regular security assessments.

3.3 Prohibited Activities

Users shall not:

Attempt to probe, scan, or test the vulnerability of the Software or any related system or network, or breach any security or authentication measures.

Upload, transmit, or distribute any viruses or malicious code through the Software.

Use the Software to store or transmit any data that is unlawful, infringing, or otherwise violates third-party rights.

3.4 Security Updates and Maintenance

waarble Pty Ltd reserves the right to perform maintenance and updates to ensure the security and functionality of the Software. Users acknowledge that such updates may result in temporary service interruptions, and waarble Pty Ltd will endeavour to provide advance notice of such interruptions whenever possible.

 

4. Compliance with Laws and Regulations

Users must use waarble's services in compliance with all applicable local, state, national, and international laws, regulations, and policies. This includes, but is not limited to, data protection laws, intellectual property laws, privacy laws, spam laws and financial regulations. Should a User or Client misuse waarble, liability remains with the User and or Client.

 

5. Prohibited Uses

Users are prohibited from utilizing waarble's services for activities that:

  1. Promote illegal activities or violate any applicable laws.
  2. Infringe upon the intellectual property rights of others.
  3. Involve the distribution of malicious software (e.g., viruses, malware).
  4. Facilitate unauthorized access to, or disruption of, any computer or communications systems.
  5. Transmit defamatory, obscene, abusive, or threatening language.
  6. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  7. Engage in activities that harm or exploit minors.
  8. Facilitate or promote gambling, or illegal drug use.

 

6. Messaging Compliance

  1. Users must comply with all applicable laws and regulations regarding spam and electronic communications, including obtaining consent from recipients for sending promotional emails and SMS messages.
  2. Messages should be relevant and appropriate to the intended recipients, in line with the purpose of waarble's services.

 

7. Payment and Financial Transactions

  1. Users must ensure that all payment and financial transactions processed through waarble, including memberships, event registrations, donations, and online orders, are conducted lawfully and transparently.
  2. Users are responsible for complying with all applicable tax laws and regulations associated with transactions.
  3. waarble reserves the right to monitor transactions to prevent fraudulent, unauthorized, or illegal activity.

 

8. Data Use and Privacy

  1. Users must respect the privacy of others and adhere to all applicable data protection laws. This includes obtaining necessary consents for the collection, use, and sharing of personal data.
  2. Users must ensure the security of personal data and prevent unauthorized access.

 

9. Content Standards

  1. Users are responsible for the content they create, upload, or share on waarble, including forms, event details, and shop items.
  2. Content that violates any aspect of this AUP or that is otherwise deemed inappropriate by waarble is subject to removal.

 

10. Bandwidth and Storage

waarble provides its Users with access to bandwidth and storage capabilities as part of its membership and event management service. While there are no specified limits on bandwidth or storage for using the waarble Service, it is important to note the intended use and limitations as outlined below:

  1. Intended Use: The provided bandwidth and storage are exclusively for activities related to membership management, event organization, and related functionalities as offered by waarble. This includes, but is not limited to, storing membership records, event details, forms for event registration, and related data.
  2. Prohibited Use: The waarble Service should not be used as an intranet or general-purpose file storage solution. Bandwidth and storage should not be utilized for storing or distributing content that is not directly related to the membership and event management services provided by waarble. This includes, but is not limited to, personal file storage, non-related business documents, multimedia files not used for waarble's services, or any content that falls outside the scope of event and membership management.
  3. Fair Use: Users are expected to adhere to a fair use policy. This means that while there are no set limits, excessive use of bandwidth or storage that adversely affects the service for other Users may result in limitations being imposed on the offending account.
  4. Monitoring and Enforcement: waarble reserves the right to monitor usage to ensure compliance with this policy. In cases where usage is deemed excessive or not in line with the intended use of the service, waarble may take appropriate action, which may include warning the User, reducing available bandwidth or storage, or suspending or terminating the service.
  5. Responsibility of Users: Users are responsible for managing their use of bandwidth and storage to ensure it aligns with the services provided by waarble. Users should regularly review and manage their stored data to ensure compliance with this policy.

By using the waarble Service, Users agree to comply with these bandwidth and storage guidelines.

 

11. Enforcement and Consequences

Violations of this AUP may result in temporary or permanent suspension of access to waarble's services, legal action, or other measures deemed necessary by waarble. Decisions regarding policy violations are at the sole discretion of waarble.

 

12. Amendments

waarble reserves the right to amend this AUP at any time. Continued use of waarble’s services after any amendment constitutes acceptance of the new terms.

We recommend Users review the terms and conditions of use of the community group / club / association and any other third-party software such as financial software that processes payments. waarble does not warrant or have any liability for third party's associated with waarble.
